Introduction: Understanding Managed Service Provider (MSP) Services

A Managed Service Provider (MSP) is a company that remotely manages and assumes responsibility for providing defined services to clients on a proactive basis. Traditionally serving businesses, our Private MSP adapts this model for individual households and families.

What We Do: We provide ongoing monitoring, maintenance, security, and support for your technology infrastructure, including networks, devices, data storage, and digital security.

Important Limitations: As an MSP, we work within the constraints of your existing internet service, hardware capabilities, and third-party service providers. We cannot guarantee uptime or performance of services outside our direct control, including but not limited to: your internet service provider's connectivity, third-party cloud services, manufacturer hardware failures, or external cyber threats beyond industry-standard protection measures.

1. Service Agreement

1.1 Contract Terms
Your specific contract length, terms, cancellation procedures, and any applicable early termination fees are detailed in your service documentation provided at signup. By enrolling, you agree to the contract terms specified in your service agreement.

1.2 Service Modifications
We reserve the right to modify service offerings with 30 days' notice. Substantial changes that materially reduce service value will be handled according to the terms specified in your service agreement.

2. Promotional Offerings and Third-Party Services

2.1 Third-Party Procurement Disclaimer
Promotional offerings, discounts, and special rates on third-party products or services (including but not limited to software licenses, cloud storage, security services, or hardware) are provided through third-party procurement contracts and partnerships. These promotions are NOT guaranteed and are subject to availability, vendor terms, and market conditions.

2.2 Affiliate Disclosure
We may receive commissions, referral fees, or other compensation from third-party vendors for products or services we recommend or facilitate. These affiliate relationships do not affect the price you pay and help us maintain competitive service rates. Our recommendations are based on what we believe best serves your needs, regardless of compensation arrangements.

2.3 Promotion Fulfillment Guarantee
If we cannot deliver a specifically advertised promotion that was a deciding factor in your service enrollment (as documented at signup), you are entitled to:

  • A full refund of all Private MSP service fees paid if you choose to cancel within 30 days of notification
  • The option to continue service at the agreed-upon rate without the promotion

2.4 Third-Party Service Terms
All third-party services remain subject to their respective provider's terms and conditions. We act as facilitator and technical implementer but are not responsible for third-party service changes, discontinuations, or policy modifications.

3. Payment Terms

3.1 Billing
Services are billed monthly in advance. Payment methods and billing cycles are established during enrollment.

3.2 Refund Policy

  • Service Refunds: Refund policies and any applicable credits are governed by your specific service agreement
  • Setup Fees: One-time setup fees are non-refundable unless required by law
  • Hardware: Customer-purchased hardware is non-refundable unless defective and within manufacturer return policy

3.3 Non-Payment and Service Suspension
Failure to pay within five (5) days of the due date may result in immediate service suspension or termination as outlined in your service agreement. Service termination due to non-payment will trigger all consequences outlined in Section 6.2, including but not limited to permanent data loss and removal of all custom configurations. Reinstatement after non-payment termination may require new setup fees and will not restore previous configurations or data.

4. Service Scope and Responsibilities

4.1 Our Responsibilities

  • Provide services as outlined in your service agreement
  • Maintain reasonable response times for support requests
  • Implement industry-standard security practices
  • Provide transparent communication about service changes or issues

4.2 Your Responsibilities

  • Maintain accurate account information
  • Provide necessary access to systems requiring management
  • Follow security recommendations and best practices
  • Promptly report service issues or security concerns
  • Ensure legal ownership/right to use all software and content

5. Privacy and Data Protection

5.1 Data Handling
We will access your systems only as necessary to provide agreed-upon services. We maintain strict confidentiality of all customer information and will never sell, share, or monetize your data.

5.2 Security Incidents
We will promptly notify you of any security incidents affecting your data and work diligently to remediate issues within our control.

6. Equipment and Software

6.1 Customer Equipment
Unless explicitly stated otherwise, all hardware remains customer property. We provide configuration, management, and support but do not assume ownership.

6.2 Proprietary Configurations and Cancellation Impact
WARNING - IMPORTANT: Security configurations, scripts, customizations, and optimizations we implement remain our intellectual property and are licensed to you only for the duration of active service.

Upon service cancellation or termination for any reason (including non-payment or early termination):

  • ALL custom configurations, scripts, and security settings WILL BE PERMANENTLY REMOVED
  • Managed devices MAY BE RESET to manufacturer defaults
  • ANY data stored within our managed systems WILL BE PERMANENTLY DELETED
  • Network optimizations and protections WILL BE DISABLED
  • System capabilities MAY BE PERMANENTLY DEGRADED from their managed state
  • Password managers, security tools, and protective software we configured WILL BE REMOVED
  • Access to all managed backups WILL BE TERMINATED
  • Custom firewall rules and safety protocols WILL BE ELIMINATED

This removal is IMMEDIATE, AUTOMATIC, and IRREVERSIBLE. We are not responsible for any data loss, service disruption, or security vulnerabilities resulting from the removal of our management services. You are strongly advised to backup all critical data independently before cancellation or termination.

7. Liability Limitations

7.1 Service Limitations
Our maximum liability for any claim shall not exceed the total amount paid for services in the three months preceding the incident. We are not liable for:

  • Indirect, consequential, or punitive damages
  • Loss of data (beyond our backup service scope)
  • Service interruptions beyond our control
  • Acts of God, natural disasters, or force majeure events

7.2 No Warranty
Services are provided "as-is" with no warranty beyond what is explicitly stated in your service agreement. We do not guarantee uninterrupted or error-free service.

8. Indemnification

You agree to indemnify and hold harmless our company from claims arising from:

  • Your violation of these terms
  • Illegal or unauthorized use of services
  • Content you store or transmit through managed systems
  • Violation of third-party rights

9. Child Safety Services

9.1 Parental Responsibility
While we provide tools and guidance for online child safety, parents/guardians remain fully responsible for monitoring and supervising minor internet usage. Our services supplement but do not replace parental supervision.

9.2 Reporting Obligations
We reserve the right to report suspected illegal activity involving minors to appropriate authorities as required by law.

10. Dispute Resolution

10.1 Good Faith Resolution
Parties agree to attempt good faith resolution of disputes before pursuing formal action.

10.2 Arbitration
Unresolved disputes will be settled through binding arbitration in Texas under standard arbitration rules.

11. General Provisions

11.1 Entire Agreement
These terms, along with your specific service agreement and any addendums, constitute the entire agreement.

11.2 Severability
If any provision is found unenforceable, remaining provisions continue in full effect.

11.3 Assignment
You may not assign your service agreement without written consent. We may assign our obligations to a successor entity.

11.4 Governing Law
This agreement is governed by the laws of Texas without regard to conflict of law principles.

11.5 Modifications
We reserve the right to modify these terms with 30 days' notice via email or service dashboard notification.

12. Accessibility and Support

12.1 Service Availability
While we strive for 24/7 availability, guaranteed support hours and response times are defined in your specific service tier documentation.

12.2 Emergency Support
Emergency support definitions and procedures are outlined in your service documentation. Additional charges may apply for support outside standard service hours.

Acceptance

By enrolling in services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
